Neatfile and its principal, J. Blignaut, are not:
Any work product produced by Neatfile is administrative in nature, prepared under the supervision of the Client's licensed broker or agent, and is not a substitute for advice or services from any of the above licensed professionals.
Nothing prepared by Neatfile constitutes legal advice, tax advice, financial advice, or investment recommendation. Where contracts, disclosures, or other documents prepared with our assistance contain content that affects the legal rights, tax position, or financial outcomes of any party, the Client is solely responsible for ensuring such content is reviewed and approved by appropriately licensed professionals before execution or distribution.
Neatfile does not represent any party to a real estate transaction. We do not act as buyer's agent, seller's agent, dual agent, transaction broker, or any other licensed agency role. The Client (and the Client's brokerage) remains the sole licensed party representing principals to a transaction.
All work performed by Neatfile is performed under the supervision of the Client's Supervising Broker. The Supervising Broker:
The Client warrants to Neatfile that the Client has the authority to engage an unlicensed back-office assistant under their applicable state's real estate regulations and that proper supervision will be maintained throughout the engagement.
Neatfile relies on information provided by the Client and by parties to the transaction. We do not independently verify the accuracy, completeness, or current validity of:
The Client and Supervising Broker are responsible for verifying the accuracy of all material information before relying on it.
Neatfile uses artificial intelligence tools to accelerate document preparation, summarization, and routine administrative tasks. AI-generated drafts are subject to human review and quality control before delivery, but no AI tool is infallible. The Client acknowledges that:
In the course of providing Services, Neatfile interacts with third-party software platforms (including but not limited to Dotloop, DocuSign Rooms, SkySlope, Brokermint, Paperless Pipeline, and email systems). Neatfile is not responsible for the availability, security, or accuracy of any third-party platform. Outages, errors, or breaches affecting such platforms are outside Neatfile's control.
Neatfile makes no warranty, express or implied, that:
Neatfile's liability for any matter arising under or in connection with the Services is limited as set forth in Section 5 of the Terms of Service. The Client expressly accepts those limitations as a condition of engagement.
Real estate licensing and unlicensed assistant rules vary by U.S. state. Some states impose strict limitations on what unlicensed personnel may do, including but not limited to drafting contracts, communicating with clients, attending closings, or holding monies. The Client warrants that:
Neatfile primarily serves real estate professionals located in the United States. Where Services touch other jurisdictions (e.g., a client based in the United Kingdom, Australia, or Canada), additional jurisdictional considerations may apply and are addressed on a case-by-case basis through written engagement.
By engaging Neatfile, the Client acknowledges having read, understood, and accepted this Service Disclaimer and the related Terms of Service and Privacy Policy.
